Please read these Terms of Service ("Terms") carefully before using Panels, a web platform provided by Smmall Inc. ("we," "us," or "our"). These Terms govern your access to and use of Panels, including any content, features, and services offered. By accessing or using Panels, you agree to be bound by these Terms.
Acceptance of Terms: a. By accessing or using Panels, you represent that you have read, understood, and agree to be bound by these Terms. b. If you do not agree with these Terms or any part thereof, you may not access or use Panels.
User Conduct: a. You agree to use Panels only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. b. You are solely responsible for your use of Panels and any content you post or share through Panels. c. You must not use Panels to upload, post, or transmit any content that is unlawful, infringing, harmful, threatening, abusive, defamatory, obscene, vulgar, or otherwise objectionable. d. You acknowledge that certain features or functionalities of Panels may require the creation of an account, and you agree to provide accurate and complete information for registration purposes.
User Content: a. Panels allows users to post and share content. You retain ownership of any content you post or share through Panels. b. By posting or sharing content on Panels, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, store, reproduce, modify, publicly perform, and distribute such content for the purpose of operating, promoting, and improving Panels. c. You represent and warrant that you have all necessary rights to post or share the content on Panels and that your content does not violate any third-party rights, including intellectual property rights.
Prohibited Content: a. Panels does not allow adult content, including explicit sexual content, nudity, or pornography. b. You must not post, share, or engage in any activity on Panels that promotes or contains adult content. c. We reserve the right to remove or disable access to any content that violates this prohibition or is otherwise objectionable, in our sole discretion.
Intellectual Property: a. The content, features, and functionality of Panels are owned by or licensed to us, and are protected by copyright, trademark, and other intellectual property laws. b. You agree not to copy, modify, distribute, sell, or lease any part of Panels or its content without our prior written consent.
Termination: a. We may terminate or suspend your access to Panels, without prior notice or liability, for any reason, including a violation of these Terms. b. Upon termination, your right to access and use Panels will immediately cease, and we may delete or disable your account and any content associated with it.
Disclaimer of Warranties: a. Panels is provided on an "as is" and "as available" basis, without any warranties or representations, either expressed or implied. b. We do not warrant that Panels will be uninterrupted, error-free, or secure, or that any defects or issues with Panels will be corrected.
Limitation of Liability: a. To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of Panels. b. In no event shall our total liability to you for all damages arising out of or in connection with Panels exceed the amount paid by you, if any, for accessing Panels during the six (6) months preceding the event giving rise to the liability.

Content Guidelines

Panels is a platform that fosters diverse thought and discussion. To maintain a safe and respectful environment, we have established the following Content Guidelines. These guidelines help us ensure that the content shared on Panels complies with legal requirements and promotes a positive user experience. If you encounter content that may violate these guidelines or have any questions, please reach out to us at tos@panelsinc.com.
Legal Compliance:
Respect Intellectual Property and Privacy: Do not infringe on others' intellectual property rights or violate their privacy. Ensure that you have the necessary rights and permissions for the content you publish on Panels.
Compliance with Laws and Regulations: Do not post content that violates any laws or regulations. You are solely responsible for the content you publish, and you may be held liable for any harm caused.
General Guidelines:
- Safe and Respectful Environment: Panels aims to be a safe space for discussion and expression. However, credible threats of physical harm are strictly prohibited.
Hate Speech:
- Violence and Discrimination: Panels cannot be used to incite violence or promote discrimination against individuals based on protected characteristics. This includes threats of physical harm based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, age, disability, or medical condition.
Private Information:
- Unauthorized Disclosure: You may not publish or share other people's private information, including personal phone numbers or home addresses, without explicit authorization. Do not threaten to expose private information or encourage others to do so. Sharing publicly accessible information is not considered a violation.
Plagiarism:
- Original Content: Do not claim someone else's work as your own. Only publish content that you have created or have proper authorization to use.
Impersonation:
- Misrepresentation Prohibited: Impersonating another person, brand, or organization is not allowed on Panels. This includes misrepresenting Panels itself or using Panels' name, logo, or trademark in a misleading or deceptive manner.
Restricted Businesses:
- Compliance with Stripe: Panels uses Stripe for payments, and you must comply with their restricted business categories and practices. Refer to the Stripe Service Agreement for more information.
Harmful Activities:
- Prohibition of Harmful and Illegal Content: Content that promotes harmful or illegal activities, including self-harm, harm to others, or harm to animals, is strictly prohibited on Panels.
Spam and Phishing:
- Anti-Spam and Anti-Phishing: Panels has a zero-tolerance policy for spam and phishing. Ensure that your mailing list consists only of individuals who have explicitly opted in to receive emails from your specific publication. Do not import email addresses acquired through purchasing, scraping, or harvesting. Obtain consent before adding people to your mailing list. Spamming or phishing activities on Panels, including posting spam in comments or discussion threads, are also prohibited.
Nudity, Pornography, and Erotica:
- Prohibition of Explicit Sexual Content: Panels does not allow pornography or sexually exploitative content. While depictions of nudity for artistic, journalistic, or related purposes are permitted, explicit sexual acts solely for sexual gratification are not. Profile images must adhere to a strict no-nudity policy. Explicit content may be hidden or removed from Panels' discovery features and search.
Comments, Notes & Community Surfaces:
- Extension to Community Areas: The content guidelines also apply to comments, notes, and other community features on Panels. Users are responsible for moderating their communities, and readers have control over their experiences. Creating accounts solely to circumvent blocks and bans imposed by other users is not allowed. We may take action against accounts engaged in artificial or inauthentic activity on community surfaces.
